G.1 Service Scope
Sanya Store is a marketplace for digital downloads — files such as PDF guides, document templates, spreadsheets, and design bundles. Some items are sold by Netpoa Limited; others by third-party sellers who list through the platform. Netpoa Limited operates the marketplace and processes payment; for third-party items the seller is the provider of the item and the licensor of its content.
G.2 For Buyers — Licence & Use
When you buy a digital item, you receive a non-exclusive, non-transferable licence to use it for the purpose described on its listing (typically personal or single-business use). Unless the listing expressly grants it, you may not resell, redistribute, sub-licence, or publish the file or its contents for others to download. The item remains the intellectual property of its rights-holder (Netpoa Limited or the seller).
G.3 Refunds — No Refund After Download
Because digital files cannot be “returned”, the following applies (consistent with the Refund Policy):
- Before download: for 7 days after purchase, if you have not yet downloaded the item, you may request a full refund — a 7-day pre-download window.
- After download: once you have downloaded the item, the sale is final and non-refundable — the file is in your possession.
- Faulty or misdescribed items: if a file is corrupt, unusable, or materially different from its description, contact us within 7 days; we will arrange a working file or, if we cannot, a refund — this exception applies even after download.
G.4 For Sellers — Listings & Content
If you list items to sell, you agree that each listing is accurate (title, description, format, what the buyer receives), that the file is free of malware, and that you keep it available for delivery. You set the price within any platform limits; we display it in TZS.
G.5 Seller IP Warranty & Indemnity
You warrant that you own or are licensed to sell everything in each item you list, and that it does not infringe any third party's intellectual property, privacy, or other rights. You grant Netpoa Limited the licence necessary to host, display, and deliver your item to buyers. You indemnify Netpoa Limited (Master §10) against any claim arising from your content or your breach of this warranty.
G.6 Seller Payouts & Commission
For each sale of your item, Netpoa Limited collects the buyer payment, deducts the platform commission (and any payment-processing fees), and remits the balance to you as a payout.
- Payout schedule: payouts are made on a regular cycle (e.g. monthly) for cleared sales, once your balance reaches the minimum payout threshold stated in the seller dashboard.
- Holdback for refunds/chargebacks: amounts for sales still within the refund window or subject to a dispute/chargeback may be held back until resolved; refunded or charged-back sales are deducted from your balance.
- Payout details: you are responsible for keeping your payout method (mobile money / bank) accurate. We are not liable for payouts sent to details you provided incorrectly.
G.7 Prohibited Content
In addition to the Acceptable Use Policy, items may not include: pirated, cracked, or infringing material; malware or credential-stealing files; illegal content; content that is defamatory, obscene, or incites violence or hatred; or anything misrepresented as original that is copied from another source.
G.8 IP Complaints & Takedowns
If a rights-holder notifies us in good faith that a listing infringes their rights, we may remove or disable the listing and notify the seller. Repeat infringement leads to removal from the marketplace. Send complaints to legal@sanya.tz with proof of rights and the specific listing; we act on credible complaints and on any binding court or registry order.
G.9 Taxes
Prices are in TZS. Sellers are responsible for their own tax obligations on their earnings (income tax, and VAT where the seller is VAT-registered). Where Netpoa Limited is required to charge or withhold tax on a transaction, it will do so and reflect it on the relevant statement.
G.10 Suspension & Termination
We may remove a listing, withhold a payout, or suspend a buyer or seller account for: breach of this Schedule or the AUP, fraud or chargeback abuse, infringing or prohibited content, or a regulatory/court order. Withheld payouts for confirmed fraud or refunds are not payable.
G.11 Fees & Commission Schedule
The platform commission percentage, any listing fees, the payout cycle, and the minimum payout threshold are published in the seller dashboard and may be updated on notice. Buyer prices are shown inclusive of any platform fee at checkout. All amounts are in TZS, exclusive of VAT unless stated.
